Terms of Service

1. Who the agreement is with

Ledger is provided by Charky Labs Pvt Ltd, a company incorporated in India (CIN U58200TZ2024PTC033012, GSTIN 33AAMCC2561R1Z6), with its registered office at 4 Thendral Nagar, Vilankurichi P.O., Coimbatore 641035, Tamil Nadu, India ("we", "us"). The agreement is with the company or business you create a Ledger account for ("you").

You confirm that you are 18 or over and have authority to accept these terms for that business. Ledger is sold to businesses. It is not a consumer product.

2. What Ledger is

Ledger is software for running a company's finances: targets and forecasts, invoices, collections, cash, and an AI that explains changes and proposes actions. What each plan includes is described on the pricing page at the time you subscribe.

Ledger is in early access. We add and change features regularly. If we remove something your plan relies on, we will tell you at least 30 days ahead, and you may cancel with a pro-rata refund of any period you have paid for and not used.

3. Accounts, members and connected agents

Your account belongs to your company. You decide who is a member and what role they have. You are responsible for what happens under your account, and for keeping sign-in details private.

A member can connect an AI assistant such as Claude or ChatGPT. A connected assistant acts as that member and never has more rights than they do. What it does is recorded against that member, and anything it proposes with a financial consequence waits for approval by a person, as described in section 9.

4. The free trial

Every plan starts with a 14-day free trial, and no card is needed to start it. We do not charge you during the trial, and we do not charge you afterwards unless you choose a plan.

If the trial ends without a plan, your account becomes read-only for 30 days so you can export everything. After that we may delete it, as set out in the Privacy Policy.

5. Plans, price and tax

Prices are per company, per month or per year, as shown on the pricing page when you subscribe. Viewers, your CA or auditor, and connected AI agents are free on every plan.

Subscriptions renew automatically at the end of each billing period, monthly or annual, until you cancel. Annual billing costs 15% less than twelve monthly payments and is charged in advance.

Prices in Indian rupees exclude GST. GST at the applicable rate (currently 18%) is added at checkout and shown on a tax invoice. Add your GSTIN and it appears on the invoice. Prices in other currencies are charged in that currency, at the price shown for it, and carry no Indian GST.

We may change prices with at least 30 days' notice. A change applies from your next renewal, never to a period you have already paid for.

Each plan has limits, including a monthly number of AI questions. If you reach a limit, we will ask you to move up a plan. We never charge you extra automatically.

6. Payment

Payments are taken by our payment gateway, Razorpay. We never see or store your card, UPI or bank details.

If a payment fails, we retry and tell you. If it is still unpaid 7 days after it was due, your account becomes read-only until it is paid. Your data is not deleted for non-payment without 30 days' further notice.

7. Cancellation and refunds

You can cancel at any time. The Refunds & Cancellation policy explains what happens to your money and your access, and it forms part of these terms.

8. Your data

Everything your company puts into Ledger, or that Ledger computes from it, is yours. You permit us to store and process it only to provide Ledger to you. You can export it at any time.

When your data includes personal data (your customers' contacts, for example), we process it for you under the Data Processing Addendum, which forms part of these terms. We never sell your data and never use it to train an AI model.

9. The AI, and what Ledger is not

Ledger's figures are calculated by its own engine from your data, not generated by an AI model. The AI explains those figures and drafts proposals. Any proposal with a financial consequence, such as a new forecast, an invoice or a write-off, takes effect only when a person in your company approves it. The person who proposed a change can never approve it.

Ledger is not a chartered accountant, tax adviser, auditor or bank. It does not move money. Your company remains responsible for its accounts, tax filings and financial decisions, and for checking what it approves. Ledger's output is only as accurate as the data it is given.

10. Acceptable use

• Do not use Ledger for anything unlawful, including concealing income, evading tax or laundering money.
• Do not upload data you have no right to use.
• Do not try to break, overload, probe or reverse-engineer the service, or reach another company's data. To report a security issue, write to security@character.xyz.
• Do not resell Ledger or give access to people outside your company, other than your advisers, without our agreement.

11. Availability and support

We work to keep Ledger available and to fix problems quickly, but we do not guarantee uninterrupted service unless we have agreed an uptime commitment with you in writing. Support is by email on every plan, with faster response on Growth and Scale as the pricing page describes.

12. Suspension and termination

We may suspend an account that breaks section 10, or that puts other customers or the service at risk. We will tell you why, and restore access once the problem is fixed, unless the law prevents us.

You may end the agreement by cancelling. We may end it with 30 days' notice, or immediately for a serious breach of section 10. Either way you can export your data first.

13. Who owns what

The Ledger software, design and brand are ours. Your data is yours, as section 8 says. If you send us suggestions, we may use them without owing you anything, and without naming you unless you agree.

14. Liability

Nothing here limits liability for fraud, or for anything else that cannot lawfully be limited.

Otherwise, our total liability under this agreement is limited to what you paid us in the 12 months before the claim arose. We are not liable for indirect or consequential losses, lost profit, or a decision your company made using Ledger.

15. Changes to these terms

If we change these terms in a way that matters, we will email the account owner at least 30 days before it takes effect, and the date at the top of this page will change. If you do not accept a change, you may cancel before it takes effect and receive a pro-rata refund of any unused period.

16. Governing law

These terms are governed by the laws of India, and the courts of Coimbatore, Tamil Nadu, India have jurisdiction.

17. Grievances

If something has gone wrong and ordinary support has not fixed it, our Grievance Officer is Zeno Saviour, reachable at legal@character.xyz or by post at 4 Thendral Nagar, Vilankurichi P.O., Coimbatore 641035, Tamil Nadu, India. We acknowledge within 2 working days and resolve within 15.
